Terms of Service

The French version of these terms is the official and prevailing version for any person or business in Quebec. Version française disponible ici.

These Terms of Service (the "Terms") form a contract between you, or the business you represent ("you", "Customer"), and LeapVision Technologies Inc. ("LeapVision", "we", "us"), a corporation incorporated in Quebec, Canada, with its head office at 206 Rivermere, Saint-Lambert, Quebec, Canada J4R 2G1. HelionAI is the service and brand operated by LeapVision (the "Service").

1. Acceptance and eligibility

By creating an account or using the Service, you accept these Terms and our Privacy Policy. If you do not agree, do not use the Service.

The Service is intended for business use by companies and organizations, not for personal or household purposes. You represent that you have the legal capacity to enter into a contract and, if acting for an organization, that you are authorized to bind it. The Service is not directed at minors.

2. Description of the Service

HelionAI is a platform that supports compliance with Quebec's Law 25 (and related Canadian laws) for small and mid-sized businesses. The Service includes, among other things, a guided self-assessment of controls, templates and documents to adapt, an incident register, privacy impact assessments (PIAs), access-request tracking, a compliance dashboard, and, where applicable, AI-assisted drafting features. The Service also includes a public website that offers, among other things, a free assessment of a site's public signals.

We may evolve, improve, or modify the features of the Service. We aim for reasonable availability but do not guarantee uninterrupted service.

3. Accounts and Customer responsibilities

You are responsible for the accuracy of your account information, the confidentiality of your credentials, and all activity under your account. You must notify us promptly of any unauthorized access. You are responsible for the users you authorize and their compliance with these Terms.

You are solely responsible for the lawfulness of the information you enter into the Service and for complying with the laws applicable to you. The Service helps you structure and document your compliance work; it does not replace your own judgment or that of your advisors.

4. Acceptable use

You agree not to: (a) use the Service for any unlawful or unauthorized purpose; (b) resell, sublicense, or offer the Service to third parties without our written agreement; (c) reverse engineer, decompile, or attempt to extract the source code, except to the extent permitted by law; (d) circumvent our security measures or usage limits; (e) upload malicious content or information for which you do not have the necessary rights; (f) interfere with or misuse the operation of the Service.

5. Fees, billing, trial, and cancellation

Paid subscriptions are billed according to the plan you select (prices are shown on the Service, in Canadian dollars, plus applicable taxes). Billing and payment processing are handled by Paddle (Paddle.com, Inc.); we do not store full card numbers.

Unless stated otherwise, subscriptions renew automatically at the end of each period. You may cancel at any time; cancellation takes effect at the end of the current period and you keep access until then. Except as required by law (including Quebec's Consumer Protection Act where it applies), amounts paid are non-refundable. We may change our prices on reasonable notice; the change applies from your next billing period.

6. Intellectual property

The Service, its software, content, templates, documentation, interface, and trademarks belong to LeapVision (or its licensors) and are protected by applicable law. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service during your subscription, in accordance with these Terms.

Your data is yours. You retain all rights in the content you enter or upload into the Service (your "Customer Data"). You grant us the limited right to host, process, and use your Customer Data solely to provide and support the Service.

If you send us feedback or suggestions, you allow us to use them to improve the Service, with no obligation to you.

7. Customer Data, privacy, and processing

The processing of personal information is governed by our Privacy Policy. Where your Customer Data includes personal information you hold about your own customers or employees, you act as the responsible organization and we act as a service provider on your behalf, under our Data Processing Agreement (DPA), which is incorporated into and forms part of these Terms by reference. That Agreement constitutes the written mandate required by section 18.3 of Law 25; please read it before accepting these Terms. We host Customer Data in Canada (AWS, ca-central-1 region).

8. No legal advice (not a law firm)

HelionAI is a compliance tool, not a law firm. Use of the Service does not create any lawyer-client relationship. The content, templates, assessments, scores, and documents provided by the Service are general and for information purposes; they do not constitute legal advice and do not replace advice from a licensed lawyer. You remain responsible for your compliance decisions. For any specific or complex situation, consult a licensed legal advisor in your jurisdiction.

9. Warranties and disclaimers

The Service is provided "as is" and "as available." To the extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will produce any particular compliance outcome, or that it will be error-free or uninterrupted. AI-assisted drafting features, where offered, may produce inaccurate or incomplete results that you must verify.

10. Limitation of liability

To the extent permitted by law, LeapVision is not liable for indirect, incidental, special, or punitive damages, or for loss of profits, data, or goodwill. Our total liability arising from these Terms or the Service is limited to the greater of: the amounts you paid us in the twelve (12) months before the event giving rise to the claim, or one hundred Canadian dollars (CAD $100). Nothing in these Terms limits any liability that cannot be limited under applicable law, including mandatory consumer protections.

11. Indemnity

You agree to indemnify LeapVision for third-party claims arising from your use of the Service in breach of these Terms or the law, or from your Customer Data, subject to the limits provided by applicable law.

12. Term and termination

These Terms apply for as long as you use the Service. You may terminate by closing your account. We may suspend or terminate your access for breach of these Terms, non-payment, or where the law requires, on reasonable notice where possible. On termination, your right to use the Service ends; deletion of your Customer Data follows the periods stated in the Privacy Policy.

The consent banner remains functional on your site even where payment is in default or the trial period has ended. It keeps blocking known non-essential trackers and keeps allowing your visitors to accept, refuse and withdraw consent. What is suspended on default is the recording of consents to your register and the visual customization of the banner, following written notice.

13. Governing law and courts

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable there. Subject to mandatory jurisdiction rules (including those protecting consumers), the courts of the judicial district of Longueuil, Quebec have exclusive jurisdiction.

14. Language (Bill 96)

In accordance with the Charter of the French Language, the French version of these Terms is the official and prevailing version. The English version is provided for convenience. You may request a French version of any relevant document.

15. Changes to the Terms

We may change these Terms. Any significant change will be posted on this page with a new effective date and, where applicable, notified to you. Your continued use of the Service after the effective date constitutes acceptance.
